Member will be listed on DelValley Silver, Inc.’s, (“DelVal”), web site, (the “Web Site”), as a person or entity who is willing to engage in barter transactions with other Members. Consumer membership is free. Retail Member (Merchant) costs a yearly fee of ten one-ounce silver tokens. |

All Members may purchase silver tokens from DelVal at prices published on the Web Site from time to time. It is anticipated that prices will fluctuate as the price of silver fluctuates. |

Retail Members are entitled to a listing on DelVal’s website as merchants in the DelVal network. |
|
Referring Members are entitled to receive two one-ounce silver tokens for each Merchant they refer to DelVal who requests a Merchant membership. For each additional year the merchant signs up, the Referring Member shall receive an additional one-ounce token. |

Member represents and warrants that it is a) 18 years of age or older; b) authorized to enter into this Agreement on behalf of itself or on behalf of any business entity for which he is an agent; and c) a resident of the United States or a business authorized to conduct business in the United States. |

DelVal, is not a barter exchange. DelVal merely provides its members with a network of other members who may be interested in engaging in barter transactions. |
| 7. |
Merchants’ contact information provided during registration will be posted on the website of DelValley Silver, Inc. and available to all other Members. |

Barter transactions do have state, federal and local tax consequences. Members are responsible for including barter sales as part of gross income reported to respective State, Federal and local taxing authorities. Each Member is responsible to maintain appropriate records for each transaction. Members should consult with an accountant or other tax professional to determine the proper reporting of barter transaction. |

DelVal does not keep a record of the transactions entered into between its Members, nor does it provide its Members with a 1099-B each year. Members are responsible for their own accounting and bookkeeping records. |

DelVal does not warrant or guarantee the quality, safety, workmanship or reliability of any good or service provided by any of its members. Member agrees to release, indemnify and hold DelVal harmless for any damages suffered by Member as a result of entering into a transaction with other members, including the imposition of reasonable attorneys’ fees and the costs of defense. DelVal does not investigate the goods or services offered by its Members. |

DelVal does not charge a fee for any transaction between its members. DelVal does not monitor, nor does it take any financial interest in the consummation of any transaction between its members. |

DelVal sells silver tokens which Members may use as a means of bartering exchange. DelVal will sell these tokens at prices that are listed from time to time on its website. Member understands that: |

Silver tokens are not a substitute for United States currency; |
 |
Silver tokens are not to be confused for legal tender of the United States; |
 |
Silver tokens are not to be circulated with United States currency, nor shall silver tokens be used to compete with United States currency; |

DelVal does not set, assign or control the value of tokens after they are sold, nor does DelVal control or influence the number of tokens for which a member may offer a product or service; |
 |
Members have agreed that they will accept tokens in exchange for goods and services, at their own discretion. |

Acceptance or use of silver tokens in a barter transaction may have tax consequences. DelVal is not responsible for any tax liability incurred as a result of a Member’s using silver tokens to trade for goods or services with another Member. |

Members may not: |

Represent silver tokens as United States currency; |
 |
Give silver tokens as “change” for transactions involving United States currency; |
 |
Represent silver tokens are “as good as” or “a substitute” for United states currency; and or |
|
Fraudulently attempt to use silver tokens as a means of exchange to a person who believes they are engaging in a transaction using the currency of the United States. |

Any member who engages in the above activity shall immediately have its membership privileges terminated immediately, and shall not be entitled to any refund of any membership dues. |
| 14. |
DelVal cannot be held liable for the nonperformance or inadequate performance of any of its Members. |
| 15. |
DelValley Silver, Inc. reserves the right, in its sole discretion, to suspend or terminate the membership of any Member about which it receives complaints or otherwise believes is not engaging in proper conduct. Complaints should be made via email to karen@delvalleysilver.com. |

If you are registering a corporation or other entity, by clicking “Continue”, you are representing that you are authorized to bind the corporation or other entity to the terms and conditions contained herein. |
| 17. |
Members shall abide by all Federal, State and local laws and regulations and DelValley Silver, Inc. shall not be responsible for the failure on the part of any Member to comply. |
| 18. |
All terms and conditions as set forth above shall be governed by the laws of the Commonwealth of Pennsylvania. Any action brought by any party to this Agreement shall be filed, and venue shall be appropriate, in Bucks County, Commonwealth of Pennsylvania. |
| 19. |
Every term contained in these Terms and Conditions is severable from every other term herein. If any such term should be judged unenforceable, it shall not affect the enforceability of the remainder of any other term or provision herein. |
| 20. |
DelValley Silver, Inc. may, from time to time, amend these terms and conditions. Notice of these changes will be provided to all Members to the email address provided during registration. |
